Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of Memora, a photo organization application for Windows, and this website (memora.panthersoft.net). Memora is developed and offered by Panther Soft ("Panther Soft," "we," "us"). By downloading, installing, or using Memora, or by using this website, you agree to these Terms.
2. Software License
Subject to these Terms, Panther Soft grants you a limited, non-exclusive, non-transferable license to install and use Memora on your own Windows PC(s), for your personal, non-commercial use, in accordance with the edition you are licensed for (Free, Trial, or Personal). This license does not transfer ownership of Memora to you — Memora remains the property of Panther Soft.
3. Free Version & Trial
Memora Free is available at no cost, with a library limit of up to 200 photos, and no time limit. Memora also offers an optional 14-day trial, which currently shares the same 200-photo limit and feature set as Free, and may be activated on one device. Starting a trial does not obligate you to purchase Memora Personal.
4. Purchases and Payments
Memora Personal is a one-time purchase. Panther Soft is moving toward processing purchases through Paddle.com Market Limited ("Paddle"), which acts as the reseller and merchant of record for Memora purchases where applicable. Paddle handles payment collection, applicable taxes, and receipts on our behalf; see our Privacy Policy for how payment information is handled. Pricing is displayed at the time of purchase.
5. Digital Delivery
Memora is delivered as a digital download. There is no physical shipment. Upon purchase of Memora Personal, you will receive a license key to activate the full, uncapped version of the application you have already downloaded (or can download from this site).
6. Device Activation
A Memora Personal license key activates Memora on a limited number of devices. Activation and periodic license verification require a brief internet connection; Memora otherwise works offline using a securely cached license. You are responsible for keeping your license key confidential.
7. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble Memora, except to the extent permitted by law;
- Redistribute, resell, sublicense, or share your license key with others;
- Use Memora for any unlawful purpose, or to process photos you do not have the right to use;
- Circumvent or attempt to circumvent Memora's licensing or activation system.
8. Intellectual Property
Memora, including its software, design, branding, and documentation, is the intellectual property of Panther Soft and is protected by applicable copyright and trademark laws. These Terms do not grant you any rights to Panther Soft's trademarks, logos, or brand assets.
9. Updates and Changes
Panther Soft may release updates to Memora that add features, fix issues, or otherwise modify the application. Continued use of Memora after an update constitutes acceptance of the updated application under these Terms.
10. Third-Party Services
Purchases may be processed by Paddle, a third-party payment provider, subject to Paddle's own terms and privacy policy. Panther Soft is not responsible for the availability or performance of third-party services outside its control.
11. Disclaimer
Memora is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Panther Soft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising out of or related to your use of Memora or this website.
13. Termination
Panther Soft may suspend or revoke a license in cases of confirmed abuse, fraud, or a material breach of these Terms. You may stop using Memora and uninstall it at any time; uninstalling Memora does not modify or delete your original photos.
14. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of Memora or this website after a change constitutes acceptance of the updated Terms.
